Please read these Terms carefully before using OnlineTaxGuru. By using our services, you agree to be bound by these Terms.
By accessing or using the OnlineTaxGuru website (onlinetaxguru.com) or any of our services — whether as a registered user or a guest — you unconditionally accept these Terms of Service ("Terms") and our Privacy Policy. If you do not agree with any part of these Terms, you must not use our platform or services. These Terms constitute a legally binding agreement between you ("Client") and OnlineTaxGuru ("Company", "we", "us"). We reserve the right to update these Terms at any time. Continued use of our services after any updates constitutes acceptance of the revised Terms.
OnlineTaxGuru provides CA-assisted online tax filing, GST registration and return filing, business registration (Private Limited, LLP, OPC, Proprietorship), trademark registration, ROC annual filing, MSME registration, and related compliance services ("Services"). All Services are rendered by ICAI-registered Chartered Accountants. We are not a law firm and do not provide legal advice beyond the scope of chartered accountancy practice as defined by the Institute of Chartered Accountants of India (ICAI). The scope of each specific Service is defined at the time of purchase and may be limited to the tasks described in the service description on our website. Services outside the stated scope may be available for additional fees.
As a user of our services, you agree to: (a) Provide accurate, complete, and current information — any filing or registration based on incorrect information you provide is your sole responsibility; (b) Upload only authentic documents — submitting forged or altered documents is a criminal offence and will result in immediate termination of services and reporting to relevant authorities; (c) Respond promptly to your assigned CA's requests for additional information or document clarification; (d) Not attempt to use our platform to engage in tax evasion, money laundering, or any activity prohibited under Indian law; (e) Keep your account credentials confidential and notify us immediately of any unauthorised access; (f) Not reverse-engineer, copy, or resell our platform or proprietary processes; (g) Ensure that any third-party documents you share (e.g., landlord NOC, employer Form 16) have been obtained with the knowledge and consent of the issuing party.
All fees are displayed on our website in Indian Rupees (INR) and are exclusive of 18% Goods and Services Tax (GST) unless stated otherwise. Payment must be made in full before your case is assigned to a CA. We accept payment via credit/debit cards, UPI, net banking, and EMI options (where available), all processed securely through Razorpay. Government fees, stamp duties, digital signature costs, or any third-party charges required to complete a service are separate from our professional fee and will be communicated before being incurred. In case of government fee changes after you have paid, we will notify you and obtain your approval before proceeding. All invoices include a GST-compliant tax invoice. Fees are non-refundable except as provided in our Refund Policy.
Upon successful payment, an ICAI-registered Chartered Accountant will be assigned to your case within 30 minutes during business hours (Monday to Saturday, 9 AM to 8 PM IST). The assigned CA will be your primary point of contact for the duration of the service. Service timelines stated on our website are indicative and may vary based on document completeness, government portal response times, and complexity of the case. We will communicate any delays and their reasons promptly. Our liability in cases of government-side delays (portal downtime, processing backlogs) is limited to communicating the status and following up on your behalf.
To the maximum extent permitted by applicable law, OnlineTaxGuru's total liability to you for any claim arising from your use of our services — whether in contract, tort, or otherwise — shall not exceed the fees paid by you for the specific service giving rise to the claim. We shall not be liable for: (a) any indirect, incidental, special, or consequential damages; (b) loss of profits, revenue, or business opportunities; (c) penalties or interest levied by tax authorities due to information you provided that was incorrect or incomplete; (d) outcomes of proceedings or notices from tax authorities after our service is completed, unless specifically covered under post-service support; (e) delays caused by government portals, third parties, or force majeure events. Nothing in these Terms limits our liability for gross negligence or wilful misconduct by our CAs.
All content on the OnlineTaxGuru platform — including text, graphics, logos, processes, templates, guides, and software — is the intellectual property of OnlineTaxGuru or its licensors and is protected by Indian copyright and intellectual property laws. Documents prepared specifically for your case (ITR, GST returns, company filings) belong to you upon full payment. You may not reproduce, resell, or distribute our platform content or proprietary processes without written permission.
These Terms shall be governed by and construed in accordance with the laws of India, and in particular the laws of the State of Maharashtra. Any disputes arising out of or related to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts located in Mumbai, Maharashtra, India. The Income Tax Act 1961, Companies Act 2013, CGST Act 2017, and ICAI regulations, as amended from time to time, shall govern the professional standards applicable to services rendered on our platform.
In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the Services, or any breach thereof, the parties agree to first attempt to resolve the dispute through good-faith negotiation within 30 days of written notice. If negotiation fails, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. A sole arbitrator mutually agreed upon by both parties (or appointed by the relevant court if no agreement is reached) shall conduct the arbitration in Mumbai in the English language. The arbitrator's decision shall be final and binding. Nothing in this clause prevents either party from seeking emergency injunctive relief from a competent court.
We reserve the right to suspend or terminate your account and access to our services, without notice, if you breach any of these Terms, provide fraudulent information, or engage in conduct that may harm our platform, other users, or our CAs. You may terminate your account at any time by contacting our support team. Termination does not affect your obligation to pay for services already rendered. Upon termination, your right to use the platform ceases immediately, but we will retain your data as required by our Privacy Policy and applicable law.
